Algemene Voorwaarden / Terms of Service

1. Partijen

Deze algemene voorwaarden ("Voorwaarden") zijn van toepassing op de overeenkomst tussen Visualized BV ("Health Cockpit", "wij", "ons") en de therapeut of gezondheidsondernemer ("Gebruiker", "u") die een abonnement afneemt op het Health Cockpit-platform.

2. Het platform

Health Cockpit is een cloudgebaseerd praktijkmanagement-platform voor therapeuten en gezondheidsondernemers. Het platform biedt onder meer functionaliteiten voor dossier- en agendabeheer, facturatie, vragenlijsten, e-mailcommunicatie, DNA-analyse en AI-ondersteunde samenvattingen.

Het platform wordt geleverd "as is" en "as available". Wij doen redelijke inspanningen om een beschikbaarheid van minimaal 99% per maand te realiseren, buiten gepland onderhoud. Wij zijn niet aansprakelijk voor tijdelijke onderbrekingen buiten onze controle.

3. Aanvaarding

Door u aan te melden voor een abonnement aanvaardt u deze Voorwaarden. De Voorwaarden worden van kracht op de datum van aanmelding en blijven van toepassing voor de volledige duur van het abonnement.

Als u handelt namens een onderneming, bevestigt u dat u gemachtigd bent om namens die onderneming te handelen en de onderneming te binden aan deze Voorwaarden.

4. Abonnement en betaling

4.1 Abonnementsformules

Health Cockpit biedt abonnementsformules aan op maand- of jaarbasis. De actuele formules, functies en prijzen vindt u op onze website. U kiest uw formule en betaalfrequentie bij aanmelding.

4.2 Betaling via overschrijving

Betaling verloopt via overschrijving. U ontvangt periodiek (maandelijks of jaarlijks, volgens de door u gekozen betaalfrequentie) een factuur en betaalt het verschuldigde bedrag via overschrijving op de op de factuur vermelde rekening, met vermelding van de gestructureerde mededeling. De betalingstermijn bedraagt 14 dagen na de factuurdatum.

4.3 Facturatie

Facturen worden elektronisch bezorgd via het Peppol-netwerk en/of per e-mail. U bent verplicht een geldig e-mailadres en correcte facturatiegegevens (inclusief ondernemingsnummer en btw-nummer, indien van toepassing) op te geven bij aanmelding en deze up-to-date te houden.

4.4 Niet-betaling

Bij niet-betaling binnen de betalingstermijn stuurt Health Cockpit een herinnering. Blijft de betaling uit gedurende 14 dagen na de vervaldatum van de factuur, dan behoudt Health Cockpit zich het recht voor om de toegang tot het platform te schorsen totdat de achterstallige bedragen volledig zijn voldaan. De toegang wordt heropend zodra de openstaande bedragen zijn ontvangen. Bij herhaalde of langdurige niet-betaling kan de overeenkomst worden beeindigd.

5. Prijswijzigingen

Health Cockpit kan de abonnementsprijzen aanpassen bij verlenging. Prijswijzigingen worden minimaal 30 dagen vooraf schriftelijk (per e-mail) meegedeeld. U kunt het abonnement opzeggen als u niet akkoord gaat met de nieuwe prijs, met ingang van de eerstvolgende verlengingsdatum. Bij gebrek aan opzegging binnen de meegedeelde termijn wordt de nieuwe prijs aanvaard.

6. Duur en opzegging

6.1 Duur

Het abonnement wordt afgesloten voor de gekozen periode (maand of jaar) en wordt automatisch verlengd voor dezelfde periode, tenzij tijdig opgezegd.

6.2 Opzegging door de Gebruiker

U kunt het abonnement op elk moment opzeggen via het platform of per e-mail. De opzegging gaat in aan het einde van de lopende abonnementsperiode. Reeds betaalde bedragen worden niet teruggestort.

6.3 Opzegging door Health Cockpit

Health Cockpit kan de overeenkomst met onmiddellijke ingang beeindigen bij ernstige schending van deze Voorwaarden, waaronder maar niet beperkt tot misbruik van het platform, frauduleus gedrag of niet-betaling.

7. Verplichtingen van de Gebruiker

De Gebruiker verbindt zich ertoe:

het platform uitsluitend te gebruiken voor legitieme praktijkmanagement-doeleinden;
correcte en volledige informatie te verstrekken bij aanmelding en deze actueel te houden;
toegangsgegevens vertrouwelijk te behandelen en niet te delen met derden;
de geldende wetgeving inzake gegevensbescherming na te leven bij het invoeren van patientgegevens;
een geldige verwerkersovereenkomst met Health Cockpit te hebben gesloten alvorens patientgegevens in het platform in te voeren (zie verwerkersovereenkomst).

8. Verboden gebruik

Het is de Gebruiker uitdrukkelijk verboden om:

het platform te gebruiken voor illegale activiteiten of activiteiten die de rechten van derden schenden;
toegang te trachten te verkrijgen tot accounts of gegevens van andere gebruikers;
het platform te gebruiken voor het versturen van ongewenste commerciele communicatie (spam);
geautomatiseerde scripts of bots in te zetten die de platforminfrastructuur belasten;
rijksregisternummers (INSZ/RRN), identiteitskaartnummers of andere nationale identificatienummers op te slaan in Health Cockpit, in welk veld dan ook. Health Cockpit beschikt niet over de wettelijke machtiging om dergelijke gegevens te verwerken. Voor labo-aanvragen voorziet het platform een functie om de patient te instrueren deze gegevens rechtstreeks aan de behandelend arts te bezorgen, buiten het platform om.

9. AI-functies en eerlijk gebruik

Health Cockpit maakt gebruik van AI-functies aangedreven door externe providers (waaronder OpenAI en Anthropic). Elk abonnement bevat een AI-budget dat voldoende is voor normaal gebruik bij het aantal consultaties dat bij uw formule past.

De Gebruiker erkent dat:

AI-gegenereerde inhoud ter ondersteuning dient en niet als vervanging van professioneel klinisch oordeel mag worden gebruikt;
het AI-budget dat bij het abonnement hoort niet wordt verlaagd gedurende de lopende abonnementsperiode;
bij significante stijging van de kosten van AI-providers de abonnementsprijs kan worden aangepast bij verlenging, met minimaal 30 dagen voorafgaande kennisgeving;
bij uitputting van het AI-budget alle niet-AI-functies volledig beschikbaar blijven;
Health Cockpit patientgegevens deelt met AI-providers uitsluitend voor het leveren van de AI-functies, conform de verwerkersovereenkomst.

Het huidig AI-verbruik is op elk moment raadpleegbaar in de praktijkinstellingen.

10. Intellectuele eigendom

Alle intellectuele eigendomsrechten op het platform, de broncode, de interface en de documentatie berusten bij Visualized BV. Het abonnement verleent de Gebruiker een niet-exclusief, niet-overdraagbaar gebruiksrecht voor de duur van het abonnement.

De Gebruiker behoudt alle rechten op de gegevens die hij of zij in het platform invoert. Health Cockpit verwerkt die gegevens uitsluitend om de dienst te leveren.

11. Aansprakelijkheid

Health Cockpit is niet aansprakelijk voor indirecte schade, gevolgschade, gederfde winst of verlies van gegevens als gevolg van het gebruik of de onmogelijkheid tot gebruik van het platform.

De totale aansprakelijkheid van Health Cockpit is in elk geval beperkt tot het bedrag dat de Gebruiker in de drie maanden voorafgaand aan het schadeveroorzakende feit aan abonnementskosten heeft betaald.

Deze beperkingen gelden niet in geval van opzet of grove nalatigheid van Health Cockpit.

12. Gegevensbescherming

De verwerking van persoonsgegevens is geregeld in ons privacybeleid. Voor de verwerking van patientgegevens sluit de Gebruiker een afzonderlijke verwerkersovereenkomst met Health Cockpit.

13. Wijzigingen aan de Voorwaarden

Health Cockpit kan deze Voorwaarden wijzigen. Bij wezenlijke wijzigingen wordt de Gebruiker minimaal 30 dagen vooraf per e-mail ingelicht. Voortgezet gebruik van het platform na de inwerkingtreding van gewijzigde Voorwaarden geldt als aanvaarding.

14. Toepasselijk recht en geschillen

Deze Voorwaarden worden beheerst door het Belgisch recht. Bij geschillen zijn de rechtbanken van het gerechtelijk arrondissement Gent exclusief bevoegd.

These Terms of Service ("Terms") govern the agreement between Visualized BV ("Health Cockpit", "we", "us") and the therapist or health entrepreneur ("User", "you") who subscribes to the Health Cockpit platform.

2. The Platform

Health Cockpit is a cloud-based practice management platform for therapists and health entrepreneurs. The platform includes features for patient file and calendar management, invoicing, questionnaires, email communication, DNA analysis, and AI-assisted summaries.

The platform is provided "as is" and "as available". We make reasonable efforts to achieve a minimum uptime of 99% per month, excluding scheduled maintenance. We are not liable for temporary interruptions outside our control.

3. Acceptance

By signing up for a subscription you accept these Terms. The Terms take effect on the date of registration and remain in force for the entire duration of the subscription.

If you act on behalf of a business, you confirm that you are authorised to act on behalf of that business and bind it to these Terms.

4. Subscription and Payment

4.1 Subscription Plans

Health Cockpit offers subscription plans on a monthly or annual basis. Current plans, features and prices are available on our website. You choose your plan and billing frequency at sign-up.

4.2 Payment by Bank Transfer

Payment is made by bank transfer. You periodically receive an invoice (monthly or annually, according to the billing frequency you chose) and pay the amount due by bank transfer to the account stated on the invoice, quoting the structured reference. The payment term is 14 days from the invoice date.

4.3 Invoicing

Invoices are delivered electronically via the Peppol network and/or by email. You are required to provide a valid email address and correct billing details (including company number and VAT number, where applicable) at sign-up and to keep them up to date.

4.4 Non-Payment

In case of non-payment within the payment term, Health Cockpit will send a reminder. If payment remains outstanding for 14 days after the invoice due date, Health Cockpit reserves the right to suspend access to the platform until all outstanding amounts are paid in full. Access is restored once the outstanding amounts have been received. Repeated or prolonged non-payment may result in termination of the agreement.

5. Price Changes

Health Cockpit may adjust subscription prices upon renewal. Price changes will be communicated in writing (by email) at least 30 days in advance. You may cancel the subscription if you do not agree to the new price, effective from the next renewal date. Failure to cancel within the notified period constitutes acceptance of the new price.

6. Term and Termination

6.1 Term

The subscription is concluded for the chosen period (monthly or annual) and is automatically renewed for the same period unless timely cancelled.

6.2 Cancellation by the User

You may cancel the subscription at any time via the platform or by email. Cancellation takes effect at the end of the current subscription period. Amounts already paid are non-refundable.

6.3 Termination by Health Cockpit

Health Cockpit may terminate the agreement with immediate effect in the event of serious breach of these Terms, including but not limited to platform abuse, fraudulent behaviour or non-payment.

7. User Obligations

The User undertakes to:

use the platform exclusively for legitimate practice management purposes;
provide accurate and complete information at sign-up and keep it current;
keep access credentials confidential and not share them with third parties;
comply with applicable data protection legislation when entering patient data;
have entered into a valid Data Processing Agreement with Health Cockpit before entering patient data into the platform (see Data Processing Agreement).

8. Prohibited Use

The User is expressly prohibited from:

using the platform for illegal activities or activities that infringe the rights of third parties;
attempting to access the accounts or data of other users;
using the platform to send unsolicited commercial communications (spam);
deploying automated scripts or bots that burden the platform infrastructure;
storing national register numbers (INSZ/RRN), identity card numbers or other national identification numbers in Health Cockpit, in any field whatsoever. Health Cockpit does not hold the legal authorisation to process such data. For lab requests the platform provides a function to instruct the patient to provide these details directly to the treating physician, outside the platform.

9. AI Features and Fair Use

Health Cockpit uses AI features powered by external providers (including OpenAI and Anthropic). Each subscription includes an AI budget sufficient for normal use at the number of consultations that corresponds to your plan.

The User acknowledges that:

AI-generated content is intended as a support tool and may not replace professional clinical judgement;
the AI budget included in the subscription will not be reduced during the current subscription period;
in the event of significant increases in AI provider costs, the subscription price may be adjusted upon renewal, with at least 30 days prior notice;
when the AI budget is exhausted, all non-AI features remain fully available;
Health Cockpit shares patient data with AI providers solely to deliver the AI features, in accordance with the Data Processing Agreement.

Current AI usage can be viewed at any time in the practice settings.

10. Intellectual Property

All intellectual property rights in the platform, source code, interface and documentation vest in Visualized BV. The subscription grants the User a non-exclusive, non-transferable right of use for the duration of the subscription.

The User retains all rights to the data entered into the platform. Health Cockpit processes that data solely to deliver the service.

11. Liability

Health Cockpit is not liable for indirect damage, consequential damage, loss of profit or loss of data resulting from the use or inability to use the platform.

Health Cockpit's total liability is in any case limited to the amount paid by the User in subscription fees in the three months preceding the damaging event.

These limitations do not apply in cases of intent or gross negligence by Health Cockpit.

12. Data Protection

The processing of personal data is governed by our privacy policy. For the processing of patient data the User enters into a separate Data Processing Agreement with Health Cockpit.

13. Changes to the Terms

Health Cockpit may amend these Terms. For material changes the User will be informed by email at least 30 days in advance. Continued use of the platform after the amended Terms take effect constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by Belgian law. In the event of disputes, the courts of the judicial district of Ghent have exclusive jurisdiction.

2. La plateforme

Health Cockpit est une plateforme de gestion de cabinet basee sur le cloud, destinee aux therapeutes et entrepreneurs de sante. La plateforme comprend des fonctionnalites de gestion des dossiers patients et de l'agenda, de facturation, de questionnaires, de communication par e-mail, d'analyse ADN et de resumes assistes par intelligence artificielle.

La plateforme est fournie "en l'etat" et "selon disponibilite". Nous faisons des efforts raisonnables pour atteindre une disponibilite d'au moins 99 % par mois, hors maintenance planifiee. Nous ne sommes pas responsables des interruptions temporaires echappant a notre controle.

3. Acceptation

En souscrivant un abonnement, vous acceptez les presentes Conditions. Les Conditions entrent en vigueur a la date d'inscription et restent applicables pendant toute la duree de l'abonnement.

Si vous agissez au nom d'une entreprise, vous confirmez etre autorise a agir en son nom et a l'engager par les presentes Conditions.

4. Abonnement et paiement

4.1 Formules d'abonnement

Health Cockpit propose des formules d'abonnement mensuelles ou annuelles. Les formules actuelles, fonctionnalites et tarifs sont disponibles sur notre site web. Vous choisissez votre formule et frequence de facturation lors de l'inscription.

4.2 Paiement par virement

Le paiement s'effectue par virement. Vous recevez periodiquement (mensuellement ou annuellement, selon la frequence de facturation que vous avez choisie) une facture et payez le montant du par virement sur le compte indique sur la facture, en mentionnant la communication structuree. Le delai de paiement est de 14 jours a compter de la date de facture.

4.3 Facturation

Les factures sont delivrees electroniquement via le reseau Peppol et/ou par e-mail. Vous etes tenu de fournir une adresse e-mail valide et des donnees de facturation correctes (y compris le numero d'entreprise et le numero de TVA, le cas echeant) lors de l'inscription et de les maintenir a jour.

4.4 Non-paiement

En cas de non-paiement dans le delai imparti, Health Cockpit envoie un rappel. Si le paiement reste impaye pendant 14 jours apres la date d'echeance de la facture, Health Cockpit se reserve le droit de suspendre l'acces a la plateforme jusqu'au paiement integral des montants dus. L'acces est retabli des reception des montants en souffrance. Des non-paiements repetes ou prolonges peuvent entrainer la resiliation du contrat.

5. Modifications tarifaires

Health Cockpit peut ajuster les prix des abonnements lors du renouvellement. Les modifications tarifaires sont communiquees par ecrit (par e-mail) au moins 30 jours a l'avance. Vous pouvez resilier l'abonnement si vous n'acceptez pas le nouveau tarif, avec effet a la prochaine date de renouvellement. A defaut de resiliation dans le delai notifie, le nouveau tarif est considere comme accepte.

6. Duree et resiliation

6.1 Duree

L'abonnement est conclu pour la periode choisie (mensuelle ou annuelle) et est automatiquement reconduit pour la meme periode, sauf resiliation en temps utile.

6.2 Resiliation par l'Utilisateur

Vous pouvez resilier l'abonnement a tout moment via la plateforme ou par e-mail. La resiliation prend effet a la fin de la periode d'abonnement en cours. Les montants deja payes ne sont pas rembourses.

6.3 Resiliation par Health Cockpit

Health Cockpit peut resilier le contrat avec effet immediat en cas de violation grave des presentes Conditions, notamment en cas d'abus de la plateforme, de comportement frauduleux ou de non-paiement.

7. Obligations de l'Utilisateur

L'Utilisateur s'engage a :

utiliser la plateforme exclusivement a des fins legitimes de gestion de cabinet ;
fournir des informations exactes et completes lors de l'inscription et les maintenir a jour ;
garder les identifiants d'acces confidentiels et ne pas les partager avec des tiers ;
respecter la legislation applicable en matiere de protection des donnees lors de la saisie des donnees patients ;
avoir conclu un accord de traitement des donnees valide avec Health Cockpit avant de saisir des donnees patients dans la plateforme (voir accord de traitement des donnees).

8. Utilisations interdites

Il est expressement interdit a l'Utilisateur de :

utiliser la plateforme a des fins illegales ou portant atteinte aux droits de tiers ;
tenter d'acceder aux comptes ou aux donnees d'autres utilisateurs ;
utiliser la plateforme pour envoyer des communications commerciales non sollicitees (spam) ;
deployer des scripts automatises ou des robots surchargeant l'infrastructure de la plateforme ;
stocker des numeros de registre national (INSZ/RRN), des numeros de carte d'identite ou d'autres numeros d'identification nationaux dans Health Cockpit, dans quelque champ que ce soit. Health Cockpit ne dispose pas de l'autorisation legale pour traiter de telles donnees. Pour les demandes d'analyses en laboratoire, la plateforme prevoit une fonctionnalite permettant d'instruire le patient de transmettre ces informations directement au medecin traitant, en dehors de la plateforme.

9. Fonctionnalites IA et usage loyal

Health Cockpit utilise des fonctionnalites d'intelligence artificielle alimentees par des fournisseurs externes (notamment OpenAI et Anthropic). Chaque abonnement comprend un budget IA suffisant pour une utilisation normale correspondant au nombre de consultations prevu par votre formule.

L'Utilisateur reconnait que :

le contenu genere par l'IA est un outil d'aide et ne peut remplacer le jugement clinique professionnel ;
le budget IA inclus dans l'abonnement ne sera pas reduit pendant la periode d'abonnement en cours ;
en cas d'augmentation significative des couts des fournisseurs IA, le prix de l'abonnement peut etre ajuste lors du renouvellement, avec un preavis d'au moins 30 jours ;
lorsque le budget IA est epuise, toutes les fonctionnalites non-IA restent entierement disponibles ;
Health Cockpit partage les donnees patients avec les fournisseurs IA uniquement pour fournir les fonctionnalites IA, conformement a l'accord de traitement des donnees.

La consommation IA actuelle est consultable a tout moment dans les parametres du cabinet.

10. Propriete intellectuelle

Tous les droits de propriete intellectuelle sur la plateforme, le code source, l'interface et la documentation appartiennent a Visualized BV. L'abonnement confere a l'Utilisateur un droit d'utilisation non exclusif et non cessible pour la duree de l'abonnement.

L'Utilisateur conserve tous les droits sur les donnees saisies dans la plateforme. Health Cockpit traite ces donnees uniquement pour fournir le service.

11. Responsabilite

Health Cockpit n'est pas responsable des dommages indirects, des dommages consequentiels, du manque a gagner ou de la perte de donnees resultant de l'utilisation ou de l'impossibilite d'utiliser la plateforme.

La responsabilite totale de Health Cockpit est en tout cas limitee au montant paye par l'Utilisateur en frais d'abonnement au cours des trois mois precedant l'evenement dommageable.

Ces limitations ne s'appliquent pas en cas de dol ou de faute grave de Health Cockpit.

12. Protection des donnees

Le traitement des donnees personnelles est regi par notre politique de confidentialite. Pour le traitement des donnees patients, l'Utilisateur conclut un accord de traitement des donnees separe avec Health Cockpit.

13. Modifications des Conditions

Health Cockpit peut modifier les presentes Conditions. Pour les modifications substantielles, l'Utilisateur sera informe par e-mail au moins 30 jours a l'avance. La poursuite de l'utilisation de la plateforme apres l'entree en vigueur des Conditions modifiees vaut acceptation.

14. Droit applicable et litiges

Les presentes Conditions sont regies par le droit belge. En cas de litige, les tribunaux de l'arrondissement judiciaire de Gand sont exclusivement competents.
